Terms of Service

1. Definitions

In these Terms, the following definitions apply:

• "Service" means the Symplehost platform, including the property management system (PMS), Symplehost Signal market intelligence tools, guest portal, mobile applications, and all related features and services.
• "Property Owner" means an individual or entity that owns short-term rental properties and uses our Service to manage them.
• "Property Manager" means an individual or entity authorized by a Property Owner to manage properties on their behalf using our Service.
• "Host" refers collectively to Property Owners and Property Managers.
• "Guest" means a traveler who books or stays at a property managed through our Service.
• "User" means any person who accesses or uses our Service, including Hosts and Guests.
• "Content" means all information, data, text, photographs, and other materials uploaded, submitted, or displayed through the Service.

2. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after such notification constitutes acceptance of the modified Terms.

3. Description of Service

Symplehost provides an integrated platform for short-term rental management, consisting of:

• Property Management System (PMS): Tools for managing bookings, calendars, guest communications, pricing, and property operations.
• Channel Management: Integration with third-party booking platforms, currently including Airbnb, to synchronize listings, availability, and reservations.
• Symplehost Signal: Market intelligence and analytics tools that provide performance metrics, competitive analysis, and revenue insights using data from third-party providers.
• Guest Portal: A platform for guests to access booking information, communicate with hosts, and manage their stays.
• Payment Processing: Integration with third-party payment providers to facilitate transactions between Hosts and Guests.
• AI-Powered Features: Automated tools that analyze data to generate summaries, insights, and recommendations.

4. Eligibility and Account Registration

To use the Service, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Service under applicable laws.
• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials.

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

As a Guest using our Service, you represent, warrant, and agree that:

• All information you provide during booking and check-in is accurate and complete.
• You will comply with all house rules, check-in/check-out times, and property guidelines provided by the Host.
• You will treat the property and its contents with reasonable care and respect.
• You are responsible for any damage caused by you or your party during your stay.
• You will not engage in any illegal activities at the property.
• You will not exceed the maximum occupancy specified for the property.
• You understand that your booking creates a direct contractual relationship with the Host, not with Symplehost.

7. Third-Party Platform Integrations

Our Service integrates with third-party platforms, including Airbnb and other online travel agencies (OTAs). By using these integrations, you acknowledge and agree that:

• You must comply with the terms of service of all connected third-party platforms.
• We are not responsible for the availability, accuracy, or functionality of third-party platforms.
• Changes to third-party platform APIs or policies may affect Service functionality, and we are not liable for such changes.
• Data synchronized from third-party platforms is subject to their respective privacy policies and terms.
• We do not guarantee the accuracy of data retrieved from third-party platforms.
• Your use of third-party integrations may be subject to additional fees charged by those platforms.

8. Payment Terms

Payments processed through our Service are handled by third-party payment providers (including HitPay and Stripe). You acknowledge and agree that:

• We do not store credit card or payment card information on our servers.
• All payment transactions are subject to the terms and conditions of the applicable payment provider.
• We are not responsible for payment processing errors, delays, or failures caused by third-party payment providers.
• Hosts are responsible for setting their own pricing and are solely responsible for any tax obligations arising from payments received.
• Refund policies are determined by individual Hosts and the applicable booking platform terms.
• Subscription fees for our Service are billed according to your selected plan and are generally non-refundable unless otherwise required by law.

9. AI-Powered Features and Automated Processing

You may opt out of certain AI features through your account settings. AI-generated content and recommendations are provided for informational purposes only and should not be relied upon as the sole basis for business decisions. We do not guarantee the accuracy of AI-generated outputs.

10. Symplehost Signal Market Intelligence

Symplehost Signal provides market intelligence and analytics using data from third-party providers, including AirROI. By using Signal, you additionally agree that:

• Market data, performance metrics, and competitive analysis are provided for informational purposes only.
• We do not guarantee the accuracy, completeness, or timeliness of market data.
• Historical performance data does not guarantee future results.
• You will only access data for properties you own or are authorized to analyze.
• You will not use Signal data to engage in unfair competitive practices or violate any laws.
• Signal data may not be reproduced, distributed, or sold without our express written consent.

11. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by ALPHA GAMMA PTE LTD and is protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works based on the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Remove or alter any proprietary notices or labels.
• Use our trademarks, logos, or branding without written permission.
• Access the Service to build a competing product or service.

You retain ownership of Content you upload to the Service. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely for the purpose of providing the Service.

You agree not to:

• Violate any applicable laws, regulations, or third-party rights.
• Provide false, misleading, or fraudulent information.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt the Service or servers.
• Attempt to gain unauthorized access to any part of the Service.
• Use automated means (bots, scrapers, etc.) to access the Service without permission.
• Transmit viruses, malware, or other harmful code.
• Harass, threaten, or discriminate against other Users.
• Use the Service for any illegal purpose, including money laundering or fraud.
• Circumvent any security measures or access restrictions.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE.
• WARRANTIES REGARDING THIRD-PARTY SERVICES, INTEGRATIONS, OR CONTENT.

WE DO NOT ENDORSE OR GUARANTEE ANY PROPERTIES, HOSTS, OR GUESTS. WE ARE NOT A PARTY TO ANY RENTAL AGREEMENTS BETWEEN HOSTS AND GUESTS. ALL BOOKINGS ARE MADE AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• ALPHA GAMMA PTE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).
• WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM YOUR INTERACTIONS WITH OTHER USERS, INCLUDING HOSTS AND GUESTS.
• WE ARE NOT LIABLE FOR PROPERTY DAMAGE, PERSONAL INJURY, OR THEFT OCCURRING AT RENTAL PROPERTIES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include:

• Violation of these Terms or our policies.
• Fraudulent, illegal, or harmful conduct.
• Extended periods of inactivity.
• Requests by law enforcement or government agencies.
• Discontinuation of the Service or any part thereof.

Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination. We may retain certain data as required by law or for legitimate business purposes. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation.
• If negotiation fails, disputes shall be submitted to mediation administered by the Singapore Mediation Centre.
• If mediation is unsuccessful, disputes shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.
• The seat of arbitration shall be Singapore. The language of arbitration shall be English.
• Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from the courts.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ALPHA GAMMA PTE LTD regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices: We may provide notices to you via email, through the Service, or by posting on our website. Notices to us should be sent to support@symplehost.ai.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
